In the framework of the implementation of the terms of the Programme Agreement referred to in par. 4 of article 155 of Law No. 4759/22 (PC4) between the Greek State, PPC S.A. and METAVASI S.A. and the 7.12.2022 Share Purchase Agreement (SPA) between PPC S.A. and METAVASI S.A. with the Greek State as guarantor. E. in the form of the spin-off of the Postalignite Exploitation of Apologization Zone Cores (APZ) division with the transfer of this division to the constituted company under the name " METALIGNITIKI MONOPOROSOPI S.A.". On 29.06.2023, the transfer of the shares from PPC S.A. to METAVASI S.A. took place with a relevant handover protocol, signed by the Seller and the Buyer, while METAVASI S.A. E. was registered as a shareholder in the shareholders' register of METALIGNITIKI S.A. with a share capital of € 162,182,483 (article 3.1.1 of the MA4 and articles 2.1, 2.3 (b), 2.3 (c) and 2.4 of the SPA). Since the completion of the transfer of the Shares, METABASIS S.A. has acquired all the rights of administrative or property nature arising from them and has started the procedures for the absorption of METALIGNITIKI S.A. in accordance with the provisions of clause 4.2.2 of the SPA4.SPA) between PPC S.A. and METAVASI S.A. with the Greek State as guarantor, the demerger of PPC S.A. took place in the form of the spin-off of the Postalignite Exploitation of Apolignitization Zone Cores (Z.AP.) division with the transfer of this division to the constituted company under the name "METALIGNITIKI MONOPOROSOPI S.A.".

On 29.06.2023 the transfer of the shares from PPC S.A. to METAVASI S.A. took place with a relevant handover protocol, signed by the Seller and the Buyer, while at the same time METAVASIS S.A. E. was registered as a shareholder in the shareholders' register of METALIGNITIKI S.A. with a share capital of 162,182,483 € (article 3.1.1 of the MA4 and articles 2.1, 2.3 (b), 2.3 (c) and 2.4 of the SPA).

Since the completion of the transfer of the Shares, METAVASI S.A. has acquired all the rights of administrative or property nature arising from them and has started the procedures for the absorption of METALIGNITIKI S.A. in accordance with the provisions of clause 4.2.2 of the PPA4.
